Terms of Service

The short version

  • Orderseam is a business tool from 369 Delivery LLC, a Texas company. It's new, and we're honest about that.
  • The free trial is your first 10 POs or 30 days, whichever comes first, with no card needed. If you've chosen a plan, it starts when the trial ends unless you cancel first.
  • Orderseam uses AI to read orders, and AI can be wrong. Anything it isn't sure about goes to a person, and you check each draft order and invoice before your buyer sees it.
  • Your data stays yours. Our privacy policy says exactly how we handle it.
  • Cancel any time. Your plan runs to the end of the period you paid for.

This summary helps you read the terms; the full terms below are what apply.

1. This agreement

These terms are an agreement between 369 Delivery LLC, a Texas limited liability company doing business as Orderseam ("we", "us"), and the business that uses Orderseam ("you"). They cover the orderseam.com website and the Orderseam service, including the Orderseam app for Shopify.

You accept these terms when you tick the box to agree at sign-up, start a plan or trial, install the Orderseam app, or use the service. If you accept for a business, you confirm that you're allowed to bind it. Orderseam is for business use only; it isn't offered to consumers for personal or household use.

If you've signed a pilot agreement or another written agreement with us, it applies too, and where it differs from these terms, the signed agreement wins. Our privacy policy is part of these terms.

2. The service

We keep improving Orderseam, so features may change. We won't remove a core feature you pay for (reading POs, creating drafts, invoices) during your paid period without telling you first. Features marked as new, beta or a test are provided as they are and may change or end.

3. AI reading and your review

Orderseam uses an AI model to read order documents, then checks the reading against your catalog. AI can misread a document, and matching can be wrong, including on lines Orderseam doesn't flag. So:

Readings, drafts and summaries Orderseam produces for you belong to you. They aren't professional, legal, tax or accounting advice.

4. Your account

Give us accurate sign-up details and keep them current. You log in with a code we email you, so keep your email account and your Shopify account secure, and control who at your business has access. You're responsible for what happens in your account. Tell us at once if you think someone has used it without permission.

5. Shopify and other services

Orderseam works with services we don't control, such as Shopify, Stripe and your email provider. Your use of them is governed by their own terms, and we aren't responsible for them, for changes they make, or for their outages. You can remove Orderseam's access to your Shopify store at any time from your Shopify admin.

6. Free trial

Every new brand gets one free trial: your first 10 POs or 30 days, whichever comes first. No card is needed to start. A PO counts once; a revised PO with the same PO number isn't counted again, and test POs during setup aren't counted.

We may end a trial early if it's being misused, for example by creating several accounts to get more free POs.

7. Plans, billing and taxes

8. Cancelling and refunds

You can cancel any time from your billing page, through our contact form, or in Shopify for App Store installs. Your plan then runs to the end of the period you've already paid for and doesn't renew. If you cancel during a trial, you aren't charged.

We don't refund part-used months or years, or setup work already done, unless the law requires it or we agree otherwise in writing. If you think you were charged by mistake, contact us within 60 days of the charge and we'll look at it with you; if we made the mistake, we'll refund it. Please talk to us before disputing a charge with your bank. App Store charges follow Shopify's refund rules.

9. Acceptable use

You agree that you'll:

You agree that you won't:

10. Your data

Your POs, catalog, customer details, invoices and Shopify data ("your data") belong to you. You give us permission to process your data only to provide, secure and support Orderseam for you, as our privacy policy describes. We don't sell it, and we don't use it to train AI models.

For your buyers' personal details, we act as your processor and service provider. We'll process them only on your instructions, keep them confidential, protect them, help you answer your buyers' privacy requests, and delete them when you leave, as our privacy policy describes. If your law requires a data processing agreement, ask us and we'll sign one.

You can download your POs and invoices while you use Orderseam, and ask us for a full export at any time. After your account ends, we delete it within 30 days (section 17).

11. Emails to your buyers

Orderseam emails your buyers only when you tell it to: a PO confirmation, an invoice you send, or reminders you turn on. These emails are sent on your behalf and about your orders, and replies go to the email address on your invoice. You're responsible for their content, including invoice amounts, terms and wording, and for having the right to email those buyers.

12. Our property and feedback

Orderseam, including its software, design and brand, belongs to us and our licensors. While you're a customer, we give you a limited, non-exclusive, non-transferable right to use it for your business under these terms. If you send us ideas or suggestions, we may use them freely, without owing you anything; that never gives us any rights in your data.

13. Confidentiality

We'll keep your data and anything else you share with us that isn't public confidential, and use it only to provide Orderseam. You'll do the same for any non-public details about Orderseam we share with you, such as pricing we offer you privately. This doesn't cover information that is already public or that the law requires one of us to disclose, in which case that party will tell the other first where the law allows.

14. No warranty

We work hard to make Orderseam accurate and available and to fix problems quickly, and we'll do the work with reasonable care and skill.

15. Limits on liability

These limits don't apply to your obligation to pay fees you owe, to your responsibilities in section 16, or to liability that can't be limited by law, such as for fraud. Nothing in these terms takes away rights you have under laws that can't be excluded by contract, such as the Australian Consumer Law, or the UK's rules on unfair terms. Where such a law applies and lets us limit our liability, our liability is limited to supplying the service again or paying the cost of having it supplied again.

16. Your responsibility for claims

If someone else makes a claim against us because of your data, the orders and invoices you confirm or send, your emails to buyers, or your breach of section 9, you'll cover our reasonable costs and any damages we have to pay, as long as we tell you promptly about the claim and let you control its defense. You don't have to settle a claim in a way that admits fault for you without your consent.

17. Suspension and ending

When your account ends, your right to use Orderseam ends, we disconnect from your Shopify store, and you can ask us for an export of your data within 30 days. We then delete your data as our privacy policy describes. Sections 7 (for fees already owed), 10, and 12 to 20 continue after the account ends.

18. Disputes and governing law

If you have a problem, please contact us first. Most issues can be settled quickly, and both of us agree to try in good faith for 30 days before starting a court case, except for urgent requests to stop misuse of data or intellectual property.

These terms, and any dispute about them or about Orderseam, are governed by the laws of the State of Texas, USA, without regard to its conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods doesn't apply. Any court case must be brought in the state courts located in Williamson County, Texas, or the United States District Court for the Western District of Texas, and both of us agree to those courts' jurisdiction. Either of us may bring an individual claim in a small claims court where it qualifies.

If the law where your business is based gives you a right to bring a claim in your own country's courts that can't be waived by contract, these terms don't take it away.

19. Changes to these terms

We may update these terms as Orderseam and the law change. We'll update the dates at the top and, for changes that matter, email active brands at least 30 days before they take effect, unless a faster change is required by law or needed to address misuse. If you don't agree with a change, you can cancel before it takes effect; changes don't apply to a dispute that started before them. If you keep using Orderseam after a change takes effect, the new terms apply.
